These Terms and Conditions (“Agreement”) govern your participation in the Outfunnel Affiliate Program (“Program”) offered by Outfunnel OÜ, a private limited company registered in Estonia (registry code: 14469427, with its principal office at Telliskivi 60a/5, Tallinn (“Outfunnel”, “we”, “us”, or “our”). By enrolling in the Program, you (“Affiliate”, “you”, or “your”) agree to be bound by this Agreement.
1. Enrollment in the Program
1.1 Eligibility: To participate, you must be at least 18 years old and have the legal capacity to enter into this Agreement.
1.2 Application: Submit a complete and accurate application through our designated platform. We reserve the right to approve or reject any application at our sole discretion.
2. Affiliate Obligations
2.1 Promotion: You agree to actively promote Outfunnel’s services using ethical marketing practices.
2.2 Compliance: All promotional activities must comply with applicable laws, including the Estonian Advertising Act, and adhere to our branding guidelines.
2.3 Prohibited Conduct: You shall not:
- Engage in misleading or deceptive marketing practices
- Use spam or unsolicited communications.
- Bid on Outfunnel’s trademarks or brand terms in search engine marketing.
3. Commission Structure
3.1 Referral Tracking: Upon acceptance into the Program, you will receive a unique referral link to track referrals
3.2 Commission Rate: You will earn a commission of 20% for the subscription fees of each new customer who subscribes to Outfunnel through your referral link.
3.3 Payment Terms: Commissions are paid monthly, within 15 days after the end of each calendar month, provided the minimum payout threshold of 50 USD is met.
3.4 Refunds and Chargebacks: If a referred customer cancels their subscription or requests a refund, the corresponding commission will be deducted from your future payouts.
3.5 Taxes: You are solely responsible for the payment of all taxes, levies, or duties applicable to any commissions earned under this Program. Outfunnel shall not be responsible for withholding or paying any taxes on your behalf.
4. Intellectual Property
4.1 License: We grant you a non-exclusive, non-transferable, revocable license to use our trademarks and promotional materials solely for the purpose of promoting Outfunnel.
4.2 Restrictions: You shall not modify our trademarks or use them in a manner that disparages Outfunnel or misrepresents our services.
5. Term and Termination
5.1 Term: This Agreement commences upon your acceptance into the Program and continues until terminated by either party.
5.2 Termination: Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
5.3 Effect of Termination: Upon termination, you must cease all use of our trademarks and promotional materials, and remove all referral links.
6. Confidentiality
6.1 Confidential Information: You agree to keep confidential all non-public information disclosed by Outfunnel, including business strategies, customer information, and technical data.
7. Limitation of Liability
7.1 Disclaimer: Outfunnel makes no warranties regarding the Program and disclaims all liability for any damages arising from your participation.
7.2 Limitation: Our liability under this Agreement shall not exceed the total commissions paid to you in the six months preceding the claim.
8. Governing Law and Dispute Resolution
8.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Republic of Estonia.
8.2 Dispute Resolution: Any disputes arising out of or in connection with this Agreement shall be resolved by the Harju County Court (Harju Maakohus) in Tallinn, Estonia.
9. Miscellaneous
9.1 Independent Contractors: Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between the parties.
9.2 Amendments: We reserve the right to modify this Agreement at any time. Continued participation in the Program constitutes acceptance of the revised terms.
9.3 Assignment: You may not assign your rights or obligations under this Agreement without our prior written consent.
9.4 Communication Consent: By participating in the Program, you consent to receive communications from Outfunnel, including product updates and important program-related announcements, via email.
